1. Provider and Scope
TokenLab is operated by Minddraft AG, Säntisstrasse 12, 6345 Neuheim, Switzerland. These Terms apply to your use of TokenLab, including the web application, plugins, CLI features, APIs, AI features, exports, and integrations.
Where individual contracts, offers, order forms, or supplemental agreements exist with specific customers, those agreements prevail in case of conflict.
2. Registration and Conclusion of Contract
The contract for the use of TokenLab is concluded upon successful registration. By registering and using TokenLab, the user accepts these Terms.
For paid orders, upgrades, or additional purchases, TokenLab may require an explicit re-confirmation of these Terms.
3. Accounts, Workspaces, and Responsibility
Users must provide accurate and current information at registration and keep their credentials confidential.
Actions taken by Workspace Owners and Workspace Admins are deemed actions on behalf of the respective workspace in relation to TokenLab. The user is responsible for ensuring that the use of TokenLab within their team or organization is lawful.
4. Plans, Pricing, Billing, and AI Credits
TokenLab offers free and paid plans. The prices, service descriptions, offer documents, or individual agreements published or agreed at the time apply. Prices, plan contents, limits, and included features may be adjusted for the future.
Paid plans are billed monthly or annually depending on the offering. AI Credits are additional, prepaid usage units for AI features and, to the extent permitted by law, are non-refundable.
Payments are processed via external payment providers, in particular Stripe. TokenLab does not store full card data but may store billing-related reference data, payment status, invoice data, and transaction identifiers.
5. Term, Termination, and Downgrade
Paid plans may be terminated at any time effective at the end of the current billing period. Until then, the booked scope of services remains in place. Upgrades may take effect immediately. Downgrades generally apply at the end of the current billing period.
If a workspace exceeds the limits of the then-applicable plan after a downgrade or after a paid plan ends, affected content may generally remain readable but may be wholly or partially restricted from being edited, created, or extended until the workspace is back within limits or a higher plan is booked.
A user may delete their workspace. Workspace deletion may take effect immediately and irreversibly.
6. Content and User Rights
All rights to tokens, styles, documentation, prompts, workspace content, exports, avatars, and other content provided by the user or within a workspace remain with the respective user, the workspace, or the other rights holder.
The user grants TokenLab the non-exclusive, worldwide right, limited to the duration of use, to host, store, process, back up, display, transmit, export, and technically reproduce such content insofar as required to provide, secure, further develop, and operate the service.
This includes transmission to integrations used by the user, export targets, AI providers, or other technical sub-processors as required to execute the chosen functions.
7. Acceptable Use
The user must not misuse TokenLab. Prohibited in particular are unlawful content or use, infringement of copyright, trademark, personality, or other rights of third parties, circumvention of security mechanisms, abusive API use, scraping, malicious code, reverse engineering without legal basis, and use of others' credentials or integrations without authorization.
AI features must not be misused to produce unlawful, misleading, harmful, or infringing content.
8. AI Features and Third Parties
TokenLab may provide AI features. AI outputs may be incomplete, faulty, unsuitable, or legally problematic and must be independently reviewed by the user before any productive, legal, technical, or business use.
Availability, quality, speed, and suitability of AI features may vary by model, provider, configuration, credits, region, and product state. If the user uses their own model or provider credentials, they are themselves responsible for their lawfulness, security, configuration, and costs.
TokenLab can connect to third-party providers and external services. Such third parties are subject to their own terms, privacy policies, technical limitations, and availability.
9. Availability, Beta, and Product Changes
TokenLab is operated with reasonable care. However, no specific availability, scope of features, or uninterrupted error-free operation is guaranteed unless expressly agreed otherwise.
TokenLab may, in whole or in part, be in a beta, preview, or early-access phase. Features may be changed, restricted, replaced, or discontinued. TokenLab reserves the right to evolve and adjust the service for technical, security-related, legal, or commercial reasons.
10. Privacy and Communication
The processing of personal data is additionally governed by the separate TokenLab Privacy Policy. TokenLab processes and shares data only insofar as required to provide, secure, bill, support, and lawfully operate the service.
TokenLab does not sell user data for advertising. TokenLab may send service-related communications, in particular regarding account, security, billing, legal changes, or material product features.
11. Liability
TokenLab is provided as is and as available. To the extent permitted by law, TokenLab does not warrant that the service is available at all times, error-free, uninterrupted, or fit for a particular purpose.
TokenLab is liable without limitation for intent, gross negligence, and where mandatory statutory liability applies. Otherwise, to the extent permitted by law, TokenLab's liability is excluded for indirect damages, consequential damages, data loss, lost profits, missed savings, business interruptions, integration failures, or damages arising from AI outputs.
For slightly negligent breach of material contractual duties, liability is limited to typically foreseeable damage, capped at the fees the affected customer paid for TokenLab in the preceding twelve months. For free use, liability is limited to a reasonable minimum amount, to the extent permitted by law.
12. Suspension, Changes, and Final Provisions
TokenLab may suspend or extraordinarily terminate accounts or workspaces in whole or in part for cause. Cause exists in particular for breach of these Terms, legal violations, security risks, abuse of the service, payment default, or actions that may endanger TokenLab, other users, or third parties.
TokenLab may amend these Terms with effect for the future where there is an objective reason, in particular due to legal changes, security requirements, product changes, or new features. Material changes will be communicated to the user in an appropriate form.
Substantive Swiss law applies. Place of jurisdiction is Zug, Switzerland, unless a mandatory statutory venue applies. For consumers, mandatory protective provisions and mandatory venues of their state of residence remain unaffected. The German version is authoritative.
